~ALL NEW CLIENTS WILL RECEIVE THE FOLLOWING IN WRITING~

This Agreement is made between Desiree T. Gambill, Board Certified Health and Wellness Coach (NBC-HWC) and Certified  Functional Diagnostic Nutrition ® Practitioner “FDN-P” of An Elemental Life And Wellness also known as the (“Coach”)  and the (“Client”). The Service Agreement in which you are about to agree to may include all of  the following:

~My role as your Health Coach/Functional Health Coach

I am NOT a medical provider or licensed physician providing any medical services. I do not diagnose or treat any health  condition. I am a Board-Certified  Health and Wellness Coach as well as a Certified Functional Diagnostic Nutrition  Practitioner ®. My role as a Coach is to educate, provide resources and make recommendations based on your individual  needs. Should you purchase a Functional Health Coaching Package that includes lab testing, a medical provider from the  Medical Director Program (MDP) through Functional Diagnostic Nutrition ® (FDN) will oversee and order any appropriate  labs per my request. Test kits will be sent directly to you, and you will be responsible for the cost of those labs. Results  will be sent to my office, and I will provide information and recommendations for healing opportunities. I do not  interpret those labs, diagnose or treat any health conditions. It is suggested you consult with your primary care physician  prior to pursuing any recommended health protocols.

~SERVICES

The “Client” will select from services listed on the website by his/her own choice. All services listed will be included in the packages listed above. Client may add additional services to packages at which client will be responsible for payment thereof. Payments are required to be paid in full at the time of purchase.

~PAYMENT OPTIONS (payment in full to be collected prior to first coaching session):

Payment can be made via PayPal or Venmo.  Check may be accepted in special situations. Should a check be received as payment, coaching sessions will be  scheduled once the deposit has been made and verified by the bank. This may take an additional 3 to 5 days  depending on the banking institution. NOTE: Any returned check fees will be imposed to the “Client” in the  amount of $30.00.

~MATERIALS

All materials and intellectual materials are made available exclusively for the “Client” and is not to be shared for the use  of those who have not purchased services from the “Coach”. This means you may not share the materials of your  package with anyone else who has not paid for it unless otherwise discussed and approved by the “Coach”.

~SCHEDULING

I understand that clients have busy schedules, and I take pride in not keeping them waiting or keeping them longer than  planned. Please be on time for your scheduled sessions. If the “Client” needs to cancel or reschedule the appointment, the  “Client” must do so 24 hours in advance; otherwise, the “Client” will forfeit the appointment and not have an  opportunity to reschedule it. Should an appointment be forfeit, the missed appointment will be deducted from the  number of sessions purchased.  Included consultation and/or session(s) expire if the sessions have not been initiated within three months of purchasing  the package. From the date of purchase (date payment received in full), “Clients” have access to any consultation  and/or session(s) included in their package.  Additional purchased consultation and/or session(s) expire if sessions have not been initiated within three months after  the Purchase Date as indicated on the invoice.  Additional packages can be purchased and/or current packages can be upgraded upon completion. Same rules apply,  session(s) expire if the sessions have not been initiated within three months of purchasing the package.

~PROGRAM PAYMENTS AND REFUNDS

Upon agreement of the purchase of the “Client’s” selected package, the full amount of the invoice is due and must be  paid in full within seven days.  In the event of the “Client’s” absence or withdrawal, for any reason whatsoever, the “Client” will remain fully  responsible for any unpaid balance of any applicable fees (i.e.,  test kits or MDP fees). Under no circumstance will the  Selling Parties refund any payments made by the “Client”. Once payment is received in full this Agreement will  commence, the “Client” agrees to be legally obligated to pay the full amount of all fees agreed upon.

~PERSONAL RESPONSIBILITY AND RELEASE OF RELATED CLAIMS

The “Client” expressly assumes the risks of the services contemplated in this agreement, whether or not such risks were  known or unknown, or created or exacerbated by the Selling Parties as a result of the “Client” using the services. The  “Client” releases the Selling Parties, his/her heirs, executors, administrators and assigns, its officers, directors,  shareholders, employees, teachers, lecturers, agents, and staff (collectively, the Releasees) from any and all liability,  damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, in law, admiralty or  equity, which against the Releasees, the “Client” ever had, now has or will have in the future against the Releasees,  arising from the “Client’s” past or future participation in, or otherwise with respect to, services rendered.

~CHOICE OF LAW, ARBITRATION AND LIMITED REMEDIES

This agreement shall be construed according to the laws of the State of Tennessee. In the event that any provision of  this Agreement is deemed unenforceable, the remaining portions of the Agreement shall be severed and remain in full  force. In the event a dispute arises between the parties, either arising from this Agreement or otherwise pertaining to  the relationship between the parties, the parties will submit to binding arbitration before the American Arbitration  Association (Commercial Arbitration and Mediation Center for the Americas Mediation and Arbitration Rules). Any  judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Such  arbitration shall be conducted by a single arbitrator. Venue for arbitration shall be Washington County, Tennessee  unless both parties agree to use telephonic services. The sole remedy that can be awarded to the “Client” in the event  that an award is granted in arbitration is refund of the Package Purchased. Without limiting the generality of the  foregoing, no award of consequential, special, or other damages, may be granted to the “Client”.  If the terms of this Agreement are acceptable, please make your payment in full for the desired Health  Coaching/Functional Health Coaching Package(s). By doing so, the “Client” acknowledges that: (1) he/she has received a  copy of this letter agreement; (2) he/she has had an opportunity to discuss the contents with the Practitioner and, if  desired, to have it reviewed by an attorney; and (3) the “Client” understands, accepts and agrees to abide by the terms  hereof.

~CONFIDENTIALITY

The “Client” will not at any time or in any manner, either directly or indirectly disclose or communicate in any manner,  any information that is proprietary to the Selling Parties. The “Client” will protect such information and treat it as  strictly confidential. If you are unclear as to what might be considered confidential information, please ask Selling  Parties. This provision will continue to be effective after the services of this agreement has concluded.

~NON-COMPETE

“Client” agrees to not use any of the information, products or materials obtained from this service to reconstruct and/or  resell for personal benefit to any other agents or representatives.

~DISPUTE RESOLUTION

The parties agree to attempt to resolve any disputes out of or relating to this service agreement through friendly  negotiations amongst the parties. If the matter is not resolved by negotiation the parties will resolve the dispute using  the Arbitration provisions discussed above.

The “Client” understands and agrees that failure to fulfill any of the obligations set forth in this Agreement and/or  violation of any terms of this Agreement shall result in being subject to appropriate lawful action, up to and including,  termination of services.
